Terms and Conditions

1) Acceptance of Terms and Controlling Conditions: The Terms and Conditions and Limitation of Remedies herein constitute the complete agreement between Author’s Express, Inc. and the query letter submitor (hereinafter "Submitor"), unless otherwise provided in writing signed by an authorized representative of Author’s Express, Inc..  No terms or conditions in any way modifying the provisions herein shall be binding on Author’s Express, Inc.  The Agreement for publication of Submitor’s query letter is made only upon the express condition that these Terms and Conditions govern.  Author’s Express, Inc.’s failure to object to provisions contained in any communication from Submitor shall not constitute waiver or modification of the terms and conditions contained herein.  If Submitor objects to any of the following terms and conditions, changes must be in writing and signed by both parties prior to commencement of performance by Author’s Express, Inc.  

2) Authorization.  Submitor gives Author’s Express, Inc. the exclusive right and authority to (a) publish the Subscriber’s submitted query letter in a format determined by Author's Express, Inc. (hereinafter "Publication"), and (b) deliver Publication to literary agents throughout the United States.  Author's Express, Inc. reserves the right to refuse any query letter submission.  Further, Submitor shall have no say as to which agents shall receive Publication.  The choice of agents to send the Publication shall be determined in the sole and absolute discretion of Author's Express, Inc.  

3) Placement of Query Letter.  Placement of Submitor’s query letter in Publication shall be determined in the sole and absolute discretion of Author's Express, Inc.  Author’s Express, Inc. shall make every effort to place Submitor’s query letter in the genre selected by Submitor; however, Author's Express, Inc. does not guarantee that Submitor’s query letter will be placed in the Submitor’s specified genre.

4) Guarantees/Warranties.  By submitting a query letter, Submitor acknowledges that Author's Express, Inc. is not guaranteeing that an agent will sign Submitor.  

5) Copyright Indemnification and Waiver.  Submitor hereby warrants that his/her submitted query letter is an "original work of authorship," as that term is defined in the Copyright Laws of the United States of America (17 USC 102).  As such, Submitor agrees that he/she shall indemnify and forever save Author's Express, Inc. harmless from and against any and all third party liabilities, claims, demands, damages, expenses, attorney fees, costs, fines, penalties, suits, proceedings, actions and causes of action, arising or growing out of, or in any way connected with, the publication of Submitor’s query letter.  In the event Author's Express, Inc. is made a party to any litigation commenced by or against Submitor for any matter covered by the operations, conduct, use or activities of Author's Express, Inc. or Submitor upon the Publication, then Submitor shall protect and forever hold Author's Express, Inc. harmless and must pay all costs, expenses and reasonable attorney fees incurred or paid by Author's Express, Inc. in connection therewith.  Author's Express, Inc. guarantees that neither it nor its officers, employees or authorized representatives shall steal or unlawfully copyright any ideas or storylines contained in Submitor’s query letter.  Despite this, Author's Express, Inc. makes no guarantee that a literary agent, or other third party, receiving Publication will not steal or unlawfully copyright the ideas or storylines contained in Submitor’s query letter, and Submitor hereby waives any claims or potential causes of action that he/she might have against Author's Express, Inc. in connection with a third party copyright violation.

6) Limitation of Remedies:  Submitor’s sole and exclusive remedy against Author’s Express, Inc. is for a refund of any payments made to Author's Express, Inc.  NO OTHER REMEDY (INCLUDING, WITHOUT LIMITATION, INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR LOST PROFITS, LOST SALES, INJURY TO PERSONS OR PROPERTY OR ANY OTHER INCIDENTAL OR CONSEQUENTIAL LOSS) SHALL BE AVAILABLE TO SELLER.  IN NO EVENT SHALL Author's Express, Inc. BE LIABLE FOR SUCH DAMAGES AND SUBMITOR WILL INDEMNIFY AUTHOR’S EXPRESS, INC. AGAINST ALL CLAIMS BY THIRD PARTIES DUE TO ANY ACTION BY SUBMITOR. 

7) Governing Law:  These Terms and Conditions are governed by the laws of the State of Indiana.  All actions hereunder must be brought in United States District Court for Southern District of Indiana, Evansville Division, or in Vanderburgh County Circuit or Superior Courts in Indiana and in no other jurisdiction.

8) Severability:  If any part of these Terms and Conditions are held to be invalid or unenforceable, all other of Terms and Conditions shall nevertheless continue in full force and effect.

9) Errors:  Any and all typographical or other clerical errors made by Author’s Express, Inc. herein are subject to correction by Author’s Express, Inc. without notice to Submitor.
